On 14 July, Washington DC, the Securities and Exchange Commission (SEC) voted to issue a concept release seeking public comment on the U.S. proxy system and asking whether rule revisions should be considered to promote greater efficiency and transparency. The European Commission organised the Public Hearing “Market abuse: promoting deterrence, market integrity and investor protection” on 2 July in Brussels in order to collect the views of stakeholders on the issues to include in the review of the Market Abuse Directive (MAD) foreseen for this year. Speakers included European and national regulators and legislators, issuers, stock exchanges, etc. On 22 June 2010 the Committee on Economic and Monetary Affairs of the European Parliament (ECON) adopted a Report on the remuneration of directors of listed companies and remuneration policies in the financial sector. The 9th European Corporate Governance Conference took place on 28 and 29 of June in Madrid. Speakers included regulators (Spanish Ministry of Finances; European Commission; the Financial Reporting Council, etc); directors; investors and stock markets. The discussions touched on several topics: current regulatory initiatives; director’s remuneration, investors’ perspectives, one share one vote; take-over bids and governance of unlisted companies. In the context of the trial Morrison against the National Australian Bank (NAB), the Supreme Court of the United States of America issued a judgment on 24 June 2010 to the effect that foreign plaintiffs could not assert claims under US Securities laws for losses suffered on a foreign exchange. |
